Public offer agreement

1. General provisions
1.1. This Agreement is a public offer by Фізична особа-підприємець Олексюк Артем Олександрович (the «Provider») to enter into an agreement for access to the Praxis service on the terms below.
1.2. Access to the Service is provided online at praxis.com.ua.
1.3. The Offer is addressed to an unlimited number of persons and is deemed accepted by the User upon registration in the Service or payment for a subscription.
1.4. Acceptance of the Offer means the User’s full and unconditional agreement with all terms of this Agreement, as well as with the Privacy policy and the Refund policy.
2. Terms and definitions
Provider — Фізична особа-підприємець Олексюк Артем Олександрович, tax ID: 3395305292, country of registration: Ukraine. Full details are on the Contact information page.
User — a legally capable individual or sole proprietor providing psychological or psychotherapeutic help who has registered in the Service and accepted this Offer.
User’s Client — a person the User added to the Service and invited to a client cabinet, or who booked with the User via the User’s link. The client cabinet is provided to the Client free of charge.
Service — the «Praxis» software product (SaaS), available via the website: the User’s workspace for managing clients, sessions, bookings, assessment tools, homework, a portfolio and practice statistics.
Free trial — 14 calendar days of free access to every feature of the Service from registration, no card required.
Subscription — the User’s right to use the User cabinet during the paid period, with automatic renewal.
3. Subject of the agreement
3.1. The Provider grants the User access to the functionality of the Service, and the User undertakes to pay for this access on the terms of the chosen plan after the Free trial ends.
3.2. The Service provides the User, in particular, with: a client record, a session journal with templates and protocols, dictation and audio transcription, online booking and a calendar, a library of assessment tools and homework, a cabinet for Clients, a public portfolio page with reviews, and practice statistics.
3.3. The service is digital: no physical goods are supplied and no delivery is made. Access is provided via the website immediately after registration (Free trial) or payment confirmation (Subscription).
3.4. The Service is a tool for organising a practice. The Provider does not provide psychological, psychotherapeutic or medical services and does not make diagnoses. Assessment results are auxiliary: professional decisions about a Client are made by the User.
4. Prices and payment
4.1. Current plans are published on the Pricing page and, as of this version, are:
- Free trial — €0, 14 days of access to every feature, no card and no automatic charges.
- Praxis — €25 per 30 days of access to every feature of the User cabinet, renewing automatically.
- Client cabinet — free for the User’s Clients, with no time limit.
4.2. Payment is made by bank card (Visa, Mastercard) via the WayForPay payment service. The Provider does not store or process card data — the payment system does.
4.3. Prices are in euros (EUR). The charge may be made in hryvnias at the issuing bank’s rate on the transaction date.
4.4. The subscription renews automatically (recurring). After the paid period ends, the same plan is charged automatically until the User cancels the subscription.
4.5. The User may cancel auto-renewal at any time in the personal cabinet — «Cancel subscription» in the profile menu. Access remains until the end of the period already paid.
4.6. If an automatic charge fails (insufficient funds, invalid card, bank refusal, etc.), access to the User cabinet is suspended until a successful payment. Once per such failed charge, the User may open access for 24 hours themselves to finish planned work.
4.7. When the Free trial ends without a Subscription, access to the User cabinet is suspended. The User’s data is kept, and access is restored immediately after payment.
4.8. While access is suspended, online booking by Clients via the User’s link is unavailable. Client cabinets keep working.
4.9. The service is deemed duly provided if the User had access to the functionality of the Service during the paid period.
5. Procedure and terms of service
5.1. Access opens immediately after registration (Free trial) or immediately after the payment is confirmed by the payment system (usually within a few minutes).
5.2. The term of the service equals the term of the plan: 14 days of the Free trial, or 30 days from each successful Subscription charge.
5.3. The Service is available around the clock, except for scheduled maintenance and circumstances beyond the Provider’s control.
5.4. Data entered by the User is kept while the User’s account exists — including while access is suspended. Data processing is described in the Privacy policy.
6. Cancellation and refunds
6.1. How to cancel a subscription and when money is refunded is set out in a separate document — the Refund policy, an integral part of this Agreement.
7. Rights and obligations
7.1. The User undertakes to provide accurate information about themselves and to use the Service only for lawful professional activity.
7.2. Regarding the personal data of their Clients (including health data), the User is the data controller: the User is responsible for the lawfulness of collecting and processing it and for obtaining the Clients’ consents. The Provider processes this data only as a processor — to provide the Service to the User — and does not use it for any other purpose.
7.3. The User is responsible for keeping access to their account secure and for actions taken from it.
7.4. The Provider may change the functionality and plans of the Service by publishing the changes on this website. A price change does not apply to a period already paid.
7.5. The Provider may suspend the User’s access in case of a breach of this Agreement.
8. Liability
8.1. The Service is provided «as is». The Provider is not liable for the User’s professional decisions or the course and outcome of therapy.
8.2. The Provider is not liable for the inability to use the Service for reasons beyond its control (issues on the User’s side, internet provider failures, actions of third-party services — including the payment system or video-call services).
8.3. The Provider’s total liability is limited to the amount actually paid by the User for the last paid period.
9. Intellectual property
9.1. All rights to the Service, its code, design and Praxis’s own assessments and tasks belong to the Provider. Rights to international assessment tools belong to their authors.
9.2. Data and materials entered by the User belong to the User.
10. Final provisions
10.1. The Agreement is in force from acceptance until the parties have fulfilled their obligations.
10.2. The Provider may change the terms of the Offer. A new version takes effect from its publication on this page.
10.3. Disputes are resolved through negotiation and, failing that, under the laws of Ukraine.
